Our Private Placement Memorandum is furnished on a confidential basis to a limited number of sophisticated investors for the purpose of providing certain information about equity investment in the Wems Agro Companies Limited (“WEMS’’), particularly in its rice project in Akotogbo.

This Placement is an invitation to prospective Investors to acquire Shares in the Company on the terms set out in the PPM and the Subscription Agreement.

Placement: N320,000,000.00

Purpose of the Placement: The Placement is being undertaken as part of the Company’s long- term strategic plans to establish itself as a national food brand and global player in the agriculture sector, to be able to deliver on the huge needs and take advantage of the immense opportunities that exist in the Nigerian Agriculture Sector.

Use of Proceeds: The gross proceeds of the Placement will be used to purchase basic farm machineries, inputs, storage facility and field preparation in order to carry out anchor borrower program(s) (ABP) on 600-1,200 hectares. The cumulative proceeds from the ABP will be used as Equity Contribution towards securing FGN intervention loans e.g. CACS, BOI or foreign mezzanine debt or a combination thereof.
